中文摘要 本篇論文旨在研究在高科技產業「國家文化距離」及「國家科技發展距離」這二項外部環境因素對跨國併購後企業創新表現的影響。在競爭激烈的市場中,高科技企業須透過持續地創新增加自身的競爭力及獲利能力。為了達到快速創新的目的,併購成為經理人最好的選擇。這項研究以資源基礎觀點為依據,探討外部環境的影響,同時也納入地理距離與併購方先前跨國併購經驗作為調節變數一同討論,以呈現更完整的分析結果。

此研究從SDC資料庫中搜集2003年至2007年間以美國企業為主之高科技產業跨國併購案為樣本。在將高科技產業限定在航空和國防、電腦和辦公機器、藥品、電子和通訊,並根據其它條件篩選完後,最終剩下215筆有效樣本來檢定研究假說是否成立。由實證分析結果得知,國家文化距離與國家科技發展距離對併購後創新表現之影響的結果皆為正向顯著相關,而地理距離與併購方先前跨國併購經驗的調節作用無顯著負相關與正相關。

這項研究為外部環境與併購後創新表現的關係提供更深入的了解。另一項貢獻為,本篇論文利用國家科技發展距離反映雙方企業間技術知識的差距,此項變數及衡量方式在未來能幫助學者發展更多相關研究。此外,這項研究也為經理人於計畫併購期間,提供一些如何提升併購後創新表現的建議。
英文摘要 The purpose of this thesis is to understand how national cultural distance and national technological development distance affect post-acquisition innovation performance in high-tech industry. In order to outperform in a competitive market, a high-tech firm would increase its innovation performance continuously by having acquisitions. While investigating the effects of external environment, which is based on the resource-based view, geographic distance and prior cross border acquisition experience are included as moderators so as to provide a more comprehensive analysis.

In all, this thesis compiled a sample of 215 acquisitions to test the hypotheses. These samples are collected from US-based high-tech cross border acquisitions from 2003 to 2007. They cover four high-tech industries: aerospace, defense, computers, office machinery, pharmaceuticals, electronics and communications. Empirical results show that national cultural distance and national technological development distance have positive significant effects on post-acquisition innovation performance. As for geographic distance and prior cross border acquisition experience, there are no significant moderating effects.

This research provides a better understanding of the association between external environment and post-acquisition innovation performance. Another contribution is that this study has developed a new measurement for national technological development distance that scholars can use for future research. Moreover, this study offers some guidelines for managers as to how to boost innovation performance when they plan to have acquisitions.
