中文摘要 本研究旨在探討企業併購後,組織間關係對企業內部組織學習與組織成員之間知識分享的歷程與影響,並探討合併後對於企業體質之關係演變的因應措施與發展。
本個案企業為了維持競爭優勢、持續追求績效成長及強化核心競爭能力,基於營運需求及提升企業競爭力,透過併購快速達到擴充產能、降低成本、取得關鍵零組件及因應客戶需求之營運目標。
本研究透過半結構訪談方式探討研究企業個案如何透過併購方式加速擴充產線規模,以快速擁有創新科技與全球市場通路,為企業開創永續價值;企業併購過程中可能因為與原公司的不同企業文化、組織領導人風格及成員特質組成等因素而於併購前後相互影響其關係演進與協同發展狀態,故本研究將探討併購後企業如何運用組織學習與知識分享來強化組織間關係發展階段的演變,追求企業價值極大化,以期合併後的企業能透過規模經濟的營運模式來降低生產成本,提升企業核心競爭力。
英文摘要 This case will investigate that how the enterprise accelerates the expansion of the production line to quickly acquire innovative technology and the development of new market to create sustainable value for the enterprise through mergers and acquisitions; before or after the process of mergers and acquisitions, there may be a mutual influence in relationship evolution and co-development status because of the different enterprise culture of the original company, the strategies of organizational leadership, stuff’s characteristics, and other factors; therefore, this research will study how the enterprises use organizational learning and knowledge sharing to cope with the evolution of different organizational relationships, and to pursue the value maximization between organizations after the business combination, and that would be expected to lower the production costs through economies business models, expand influence in the industry, so that the enterprises would be able to enhance the core competitiveness.
